Terms of Service

Welcome to Yume. These Terms of Service ("Terms") govern your access to and use of the Yume platform, including our website at getyume.com, mobile applications, and all related services (collectively, the "Service"). Please read these Terms carefully, as they contain important information concerning your legal rights and limitations on those rights.
By accessing or using the Service, you indicate that you have read these Terms and agree to be bound by them. If you do not agree with these Terms, you are not permitted to access or use the Service.
1. Definitions
In these Terms, the following words and expressions have the meanings set out below:
- "Yume," "we," "us," or "our" refers to Yume, the company operating the Platform, together with its affiliates and subsidiaries.
- "Platform" means the Yume website (getyume.com), mobile applications, and any related technology, tools, or interfaces through which the Service is made available.
- "Traveler" or "you" means any individual who accesses or uses the Service to browse, plan trips, book Experiences, or otherwise engage with the Platform as a consumer.
- "Agency" means any travel agency, tour operator, experience provider, or other business entity that lists, offers, or provides Experiences through the Platform.
- "Agent" means an individual employee, representative, or staff member of an Agency who operates on the Platform on behalf of that Agency.
- "Experience" means any tour, activity, attraction, accommodation, package, itinerary, or other travel-related product or service listed on the Platform by an Agency.
- "Booking" means a confirmed reservation or purchase of an Experience made through the Platform.
- "User Content" means any content submitted to the Platform by users, including reviews, ratings, photos, itineraries, comments, and other materials.
- "Account" means a registered user account on the Platform, whether for a Traveler, Agent, or Agency.
2. Platform Role and Relationship
2.1 Yume is a technology platform that connects Travelers with Agencies offering travel Experiences worldwide. Yume is not a travel agency, tour operator, or provider of Experiences. When you make a Booking, you enter into a contract directly with the Agency supplying the Experience.
2.2 Yume acts as a disclosed agent and limited payment collection agent on behalf of Agencies. This means Yume facilitates the Booking and collects payment on behalf of the Agency, but is not a party to the underlying agreement between you and the Agency for the provision of the Experience.
2.3 Agencies are independent businesses and not employees, agents, joint venturers, or partners of Yume. Yume does not control, and is not responsible for, the Experiences provided by Agencies. Yume does not guarantee the quality, safety, suitability, or legality of any Experience listed on the Platform.
2.4 While Yume may verify certain information about Agencies (such as business registration and identity), such verification does not constitute an endorsement, certification, or guarantee of any Agency or Experience.
3. Eligibility
3.1 You must be at least 18 years of age and capable of entering into legally binding contracts to use the Service or make Bookings. By using the Service, you represent and warrant that you meet these eligibility requirements.
3.2 If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
3.3 The person making a Booking is deemed to have accepted these Terms on behalf of all individuals named in or covered by that Booking.
4. Account Registration
4.1 To access certain features of the Service, including making Bookings, you must create an Account and provide accurate, current, and complete information. You agree to update your information as necessary to maintain its accuracy.
4.2 You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. You must notify Yume immediately of any unauthorized use of your Account or any other breach of security.
4.3 Your Account is for your personal or authorized business use only. You may not create more than one Account, impersonate another person, or provide someone else's information when registering. Accounts created via invitation codes are subject to the role and permissions specified by the issuing party.
4.4 You may register using email and password or through supported third-party authentication providers (such as Google or Apple sign-in). When using third-party sign-in, you authorize Yume to access certain information from that provider as described in our Privacy Policy.
4.5 Yume may suspend or terminate your Account at any time if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if termination is necessary to protect the rights, safety, or property of Yume or other users.
4.6 You may close your Account at any time by using the account closure feature within the Service or by contacting us. Account closure does not release you from any obligations incurred prior to closure, including outstanding payments or pending Bookings.
5. Agency Terms
5.1 Onboarding and Verification. Agencies must complete an onboarding process that includes submitting business registration documents and completing identity verification (Know Your Business, or KYB). Yume reserves the right to approve or reject any Agency application at its sole discretion.
5.2 Stripe Connect. To receive payouts for Bookings, Agencies must complete onboarding with our payment partner, Stripe, through Stripe Connect. By onboarding, Agencies agree to be bound by the Stripe Connected Account Agreement, which may be modified by Stripe from time to time. Yume is not responsible for the actions or policies of Stripe.
5.3 Experience Listings. Agencies are solely responsible for the accuracy, completeness, and legality of their Experience listings, including descriptions, pricing, availability, images, inclusions, exclusions, and any applicable terms or restrictions. Yume does not guarantee the accuracy of Agency-provided information.
5.4 Agency Obligations. Agencies agree to: (a) provide Experiences as described in their listings; (b) maintain all necessary licenses, permits, and insurance required to operate; (c) comply with all applicable local, national, and international laws and regulations; (d) respond to Traveler inquiries and Booking requests in a timely manner; and (e) honor the cancellation and refund policies stated in their listings.
5.5 Staff Management. Agencies may invite Agents to join the Platform under their organization using invite codes. Agencies are responsible for the actions of their Agents on the Platform and must ensure that all staff comply with these Terms.
5.6 Featured and Verified Status. Yume may designate certain Agencies or Experiences as "Featured" or "Verified." Such designations are at Yume's sole discretion and do not constitute a guarantee, warranty, or endorsement of quality or safety. Yume may revoke these designations at any time.
6. Bookings and Reservations
6.1 When you make a Booking through the Platform, you are entering into a contract directly with the Agency providing the Experience. Yume facilitates this transaction but is not a party to the contract between you and the Agency.
6.2 By making a Booking, you warrant that: (a) you are at least 18 years of age; (b) you have the legal authority to enter into the Booking; (c) all information you provide is true and accurate; and (d) you will use the Experience for its intended purpose.
6.3 A Booking is confirmed only when you receive a confirmation from Yume. Yume reserves the right, acting on behalf of the Agency, to accept or reject any Booking request.
6.4 You are responsible for reviewing the full details of an Experience before making a Booking, including the itinerary, inclusions, exclusions, meeting points, timing, physical requirements, and any Agency-specific terms and conditions.
6.5 For group or multi-traveler Bookings, the person making the Booking is responsible for ensuring that all participants are aware of and agree to the applicable terms and conditions.
7. Pricing and Fees
7.1 Prices for Experiences are set by the applicable Agency and displayed on the Platform in the currency specified. Prices may be quoted on a per-person basis or otherwise as indicated in the listing.
7.2 Unless otherwise stated, prices do not include: local taxes or government fees; travel insurance; transportation to and from meeting points; meals, beverages, or gratuities not specifically listed as included; passport or visa fees; personal expenses; or any other items not explicitly stated as included in the listing.
7.3 Prices are subject to change without notice until a Booking is confirmed. Once a Booking is confirmed at a stated price, that price is binding, subject to the terms of any applicable cancellation or modification policy.
7.4 Yume charges Agencies a platform service fee on each Booking, which is deducted from the Agency's payout. The service fee rate may vary based on the Agency's tier and agreement with Yume. Yume may also charge other fees as disclosed to the applicable party prior to the transaction.
7.5 Currency conversions, if applicable, are based on prevailing exchange rates and are provided as estimates only. Your bank or payment card issuer may apply its own exchange rate and charge additional fees. Yume is not responsible for any differences between the displayed price and the amount charged by your financial institution.
8. Payments
8.1 Payments for Bookings are processed securely through Stripe, our third-party payment processor. Yume collects payment on behalf of the Agency as a limited payment collection agent. Full payment is required at the time of Booking unless otherwise specified.
8.2 By providing payment information, you represent that you are authorized to use the payment method and authorize Yume and Stripe to charge the applicable amount. Yume does not store your full credit or debit card details; all sensitive payment information is handled directly by Stripe in accordance with PCI DSS standards.
8.3 Your Booking amount may be subject to taxes, duties, or other fees imposed by governmental authorities. It is your responsibility to determine and pay any applicable taxes on your purchases.
8.4 The charge on your payment statement may appear under "Yume" or a related descriptor. If you have questions about a charge, please contact us before initiating a dispute with your financial institution.
9. Agency Payouts
9.1 Agencies receive payouts for confirmed Bookings through Stripe Connect. Payouts are calculated as the Booking amount less applicable Stripe processing fees and the Yume platform service fee.
9.2 Payout frequency (immediate, daily, weekly, monthly, or manual) and minimum payout thresholds are determined by the Agency's tier level and payout settings. Yume reserves the right to hold, delay, or withhold payouts if it reasonably suspects fraud, a policy violation, or a pending dispute or chargeback.
9.3 Agencies are solely responsible for reporting and paying any taxes applicable to the income they receive through the Platform. Yume does not provide tax advice and is not responsible for any Agency's tax obligations.
9.4 Payouts will not be processed until the Agency has completed Stripe Connect onboarding and verification. Yume is not liable for any delays in payouts caused by Stripe, the Agency's financial institution, or the Agency's failure to complete required verification steps.
10. Cancellations and Refunds
10.1 Cancellation by Traveler. Cancellation and refund policies are set by each Agency and displayed on the Experience listing at the time of Booking. You must review and accept the applicable cancellation policy before completing your Booking. The cancellation policy stated in the listing at the time of your Booking is the policy that governs your cancellation rights.
10.2 To cancel a Booking, you must use the cancellation options available through your Account on the Platform. Cancellations made by other means (such as contacting the Agency directly) may not be processed or honored by Yume.
10.3 No refunds are available once an Experience has commenced, or for any portion of an Experience that has already been utilized, unless otherwise required by applicable law.
10.4 Cancellation or Modification by Agency. An Agency may occasionally need to cancel or materially modify an Experience after your Booking. If this occurs, Yume will notify you and, at its discretion, offer you an alternative Experience or a full refund of the original purchase price.
10.5 Cancellation by Yume. Yume reserves the right to cancel any Booking at any time if it reasonably believes that the Booking involves fraud, violates these Terms, or if cancellation is necessary to protect the safety or rights of any party. In such cases, Yume may, at its discretion, issue a full or partial refund.
10.6 Force Majeure. Neither Yume nor any Agency shall be liable for cancellations, delays, or failures to perform caused by events beyond their reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, government actions, strikes, or severe weather conditions. In such cases, Yume will use reasonable efforts to facilitate rescheduling or refunds, but is not obligated to do so.
10.7 Chargebacks. If you dispute a charge with your payment provider (chargeback) rather than seeking resolution through Yume, we reserve the right to suspend your Account and contest the chargeback. We encourage you to contact us first to resolve any payment disputes.
11. Trip Planning and Collaboration
11.1 The Platform allows Travelers to create, plan, and manage trips, including building itineraries, saving Experiences, and collaborating with other users or Agents.
11.2 When you share a trip or invite collaborators, you grant those individuals access to view and, depending on their role, edit the trip details. You are responsible for managing access permissions and understand that shared information may be visible to all collaborators.
11.3 Yume may offer AI-assisted trip planning features. Content generated by AI tools is provided for informational and inspirational purposes only. Yume does not guarantee the accuracy, completeness, or suitability of AI-generated recommendations, and you should independently verify any information before making travel decisions.
12. User Content
12.1 You may submit User Content to the Platform, including reviews, ratings, photos, itineraries, and comments. By submitting User Content, you grant Yume a worldwide, non-exclusive, royalty-free, transferable, sub-licensable license to use, reproduce, modify, adapt, translate, distribute, publish, create derivative works from, and publicly display such content in connection with the Service and Yume's business operations, including marketing and promotion.
12.2 You retain ownership of your User Content. However, you represent and warrant that: (a) you own or have the necessary rights and permissions to submit the content; (b) your content does not infringe any third party's intellectual property, privacy, or other rights; and (c) your content is accurate, not misleading, and does not violate these Terms or any applicable law.
12.3 User Content is non-confidential and non-proprietary. Yume has no obligation to maintain the confidentiality of any User Content or to provide you with copies of User Content after it is submitted.
12.4 Yume reserves the right, but has no obligation, to review, edit, remove, or disable access to any User Content at any time and for any reason, including content that Yume believes, in its sole discretion, violates these Terms or is otherwise objectionable.
12.5 Reviews must be based on genuine, firsthand experiences. Yume may flag, remove, or deprioritize reviews that appear to be fraudulent, incentivized, or in violation of our review guidelines. Trading or soliciting reviews is strictly prohibited.
12.6 Yume may display advertisements or other content adjacent to your User Content. You are not entitled to any compensation for such placement.
13. Prohibited Conduct
13.1 You agree not to, and will not assist or enable others to:
- Use the Service for any unlawful purpose or in violation of any applicable law, regulation, or third-party rights.
- Make speculative, false, or fraudulent Bookings, or Bookings in bad faith.
- Submit false, misleading, or deceptive information, including fake reviews, fake identities, or misrepresented credentials.
- Harass, threaten, stalk, defame, or intimidate other users, Agencies, or Yume staff.
- Use automated means (including bots, scrapers, spiders, crawlers, or AI systems) to access, copy, scrape, index, or collect data from the Platform without Yume's express written permission.
- Attempt to gain unauthorized access to the Platform, other user accounts, or any computer systems or networks connected to the Platform.
- Transmit viruses, malware, or any other harmful or disruptive code.
- Interfere with or disrupt the Platform's infrastructure, security features, or proper functioning.
- Use the Service to send spam, unsolicited messages, chain letters, or mass communications.
- Circumvent, disable, or interfere with any security, access control, or copy-protection features of the Platform.
- Reproduce, distribute, publicly display, or create derivative works from Platform content without written authorization.
- Use the Service in a manner that creates a conflict of interest, such as operating a competing platform or soliciting Agencies or Travelers away from Yume.
- Promote bigotry, discrimination, or hatred against any individual or group.
- Submit or distribute content that is pornographic, obscene, or illegal.
- Initiate chargebacks or payment disputes in bad faith.
13.2 Yume reserves the right to investigate, suspend, or terminate the Account of any user who engages in prohibited conduct, and to take any legal action it deems appropriate.
14. Intellectual Property
14.1 The Platform and all content therein, including but not limited to text, graphics, logos, icons, images, audio, video, software, code, design, and the compilation thereof (collectively, "Platform Content"), are owned by or licensed to Yume and are protected by copyright, trademark, and other intellectual property laws.
14.2 You may not copy, reproduce, distribute, transmit, display, license, sell, or create derivative works from any Platform Content without Yume's prior written consent, except as expressly permitted by these Terms or applicable law.
14.3 The Yume name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Yume. You may not use such marks without the prior written permission of Yume.
14.4 If you believe that content on the Platform infringes your intellectual property rights, please contact us at admin@getyume.com with a detailed description of the alleged infringement. We will investigate and respond in accordance with applicable intellectual property laws, including the Digital Millennium Copyright Act (DMCA) where applicable.
15. Privacy and Data Protection
15.1 Your use of the Service is governed by our Privacy Policy, which explains how we collect, use, share, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.
15.2 Yume complies with applicable data protection laws, including the General Data Protection Regulation (GDPR) for users in the European Economic Area and the United Kingdom, and the California Consumer Privacy Act (CCPA) for California residents.
15.3 When you make a Booking, certain personal information (such as your name and contact details) may be shared with the applicable Agency to facilitate the Experience. Agencies are required to handle your information in accordance with applicable privacy laws and may only use it for the purpose of providing the booked Experience.
15.4 Users in applicable jurisdictions have the right to access, correct, delete, restrict the processing of, or request the portability of their personal data, as outlined in our Privacy Policy.
16. Communications
16.1 By creating an Account, you agree to receive communications from Yume, including transactional emails (Booking confirmations, receipts, account notifications), service-related announcements, and, where you have opted in, marketing communications.
16.2 You may opt out of marketing communications at any time by following the unsubscribe instructions in our emails or adjusting your Account notification settings. You may not opt out of transactional or service-related communications that are necessary for the operation of the Service.
16.3 The Platform may include messaging features that allow communication between Travelers and Agencies. You agree to use these features only for purposes related to the Service and not for spam, solicitation, or any prohibited conduct.
17. Third-Party Services and Links
17.1 The Service integrates with and relies on third-party services, including Stripe for payment processing, Firebase for authentication, and cloud infrastructure providers. Your use of these third-party services is subject to their respective terms and privacy policies. Yume is not responsible for the availability, accuracy, or content of third-party services.
17.2 The Platform may contain links to third-party websites or resources. These links are provided for convenience only and do not constitute an endorsement by Yume. Yume has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites.
17.3 Any interactions you have with third-party services, including payment transactions processed by Stripe, are governed by the terms and policies of those third parties. Yume is not liable for any loss or damage arising from your use of third-party services.
18. Travel Responsibilities
18.1 When you make a Booking, you are responsible for ensuring that you meet all entry requirements for your destination, including valid passports, visas, health certificates, and vaccinations. Requirements may change at any time and it is your responsibility to verify them before travel.
18.2 Yume strongly recommends that you purchase comprehensive travel insurance prior to your trip to protect against unforeseen cancellations, medical emergencies, lost luggage, and other travel-related risks.
18.3 You are responsible for reviewing travel advisories and warnings issued by your government and the government of your destination country. Yume does not represent or warrant that travel to any destination is advisable or without risk.
18.4 Yume is not liable for any loss, injury, damage, or expense arising from your travel, including but not limited to denied boarding, refused entry, travel delays, lost property, personal injury, or illness.
19. Disclaimers
19.1 THE SERVICE, INCLUDING ALL PLATFORM CONTENT, EXPERIENCES, AND RELATED INFORMATION, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. YUME DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
19.2 YUME DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY DEFECTS WILL BE CORRECTED; (C) THE PLATFORM OR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.
19.3 AGENCIES ARE INDEPENDENT BUSINESSES AND NOT EMPLOYEES OR AGENTS OF YUME. YUME IS NOT LIABLE FOR THE ACTS, ERRORS, OMISSIONS, REPRESENTATIONS, WARRANTIES, BREACHES, NEGLIGENCE, OR MISCONDUCT OF ANY AGENCY OR AGENT, OR FOR ANY PERSONAL INJURY, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES RESULTING FROM YOUR INTERACTION WITH ANY AGENCY OR YOUR PARTICIPATION IN ANY EXPERIENCE.
19.4 INFORMATION AND CONTENT ON THE PLATFORM, INCLUDING AI-GENERATED CONTENT, MAY CONTAIN INACCURACIES OR ERRORS. YUME DOES NOT GUARANTEE THE ACCURACY OF ANY INFORMATION ON THE PLATFORM AND EXPRESSLY RESERVES THE RIGHT TO CORRECT ERRORS, INCLUDING PRICING ERRORS, AT ANY TIME.
20. Limitation of Liability
20.1 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YUME, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, ANY BOOKING, ANY EXPERIENCE, OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF YUME HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
20.2 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YUME'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO YUME IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (US $100.00).
20.3 The limitations set forth in this section reflect a fair allocation of risk between the parties and shall survive and apply even if any limited remedy specified in these Terms is found to have failed of its essential purpose.
20.4 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that applicable law does not allow to be excluded or limited. If you are a consumer in the EU or UK, you have mandatory consumer rights that are not affected by these Terms.
21. Indemnification
21.1 To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Yume and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your breach of these Terms or any applicable law or regulation.
- Your use of the Service or participation in any Experience.
- Your User Content or any content you submit to the Platform.
- Your violation or infringement of any third-party rights.
- Any Booking you make or transaction you conduct through the Platform.
- Your negligence or willful misconduct.
21.2 This indemnification obligation does not apply to consumers resident in the European Union or United Kingdom to the extent that it would be unenforceable under applicable consumer protection laws.
22. Dispute Resolution
22.1 Between Travelers and Agencies. Disputes between Travelers and Agencies regarding Experiences should first be resolved directly between the parties. Yume may, at its discretion, facilitate communication or mediation between the parties, but is not obligated to do so. Yume is not a party to the contract between you and the Agency and shall not be liable for the resolution of any such dispute.
22.2 Between Users and Yume. If you have a dispute with Yume, you agree to first contact us at admin@getyume.com and attempt to resolve the dispute informally for at least thirty (30) days before initiating any formal proceedings.
22.3 Arbitration. If the dispute is not resolved informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in San Francisco, California, United States, unless the parties mutually agree to another location or virtual proceedings.
22.4 Class Action Waiver. To the fullest extent permitted by applicable law, you agree that any arbitration or legal proceedings shall be conducted only on an individual basis and not as a class action, collective action, or representative proceeding. You waive any right to participate in or bring claims as a member of any class or in any consolidated or representative proceeding.
22.5 Time Limitation. To the extent permitted by applicable law, any claim or cause of action arising from or relating to your use of the Service must be brought within two (2) years from the date on which the claim arose, or such claim will be permanently barred.
22.6 The arbitration and class action waiver provisions in this section do not apply to the extent they are prohibited by the laws of your jurisdiction. If you are a consumer in the EU or UK, you retain the right to bring claims in the courts of your country of residence.
23. Termination and Suspension
23.1 Yume may suspend or terminate your Account and access to the Service at any time, with or without notice, for any reason, including but not limited to: violation of these Terms; fraudulent, abusive, or illegal activity; failure to pay amounts owed; extended inactivity; or if Yume ceases to offer the Service.
23.2 Upon termination: (a) your right to access and use the Service immediately ceases; (b) any pending Bookings may be cancelled; (c) any amounts owed to Yume become immediately due; and (d) Yume may retain or delete your Account data in accordance with our Privacy Policy and applicable law.
23.3 Termination does not release either party from any obligations that accrued prior to the termination date. Sections that by their nature should survive termination shall survive, including but not limited to: intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.
23.4 For Agencies, termination may result in the withholding of pending payouts until all outstanding disputes, chargebacks, and obligations are resolved.
24. Modifications to These Terms
24.1 Yume reserves the right to update, modify, or replace these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you by email or through the Platform.
24.2 Your continued use of the Service after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and close your Account.
24.3 For users in the EU or UK, Yume will provide reasonable advance notice of material changes to these Terms. If you do not accept the changes, you may terminate your Account before the changes take effect.
25. Governing Law and Jurisdiction
25.1 These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.
25.2 Subject to the arbitration provisions in Section 22, you agree that any legal proceedings arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.
25.3 The foregoing choice of law and jurisdiction provisions do not apply to the extent that applicable law in your country of residence mandates a different governing law or jurisdiction that cannot be excluded by contract.
26. General Provisions
26.1 Entire Agreement. These Terms, together with the Privacy Policy and any other terms referenced herein, constitute the entire agreement between you and Yume with respect to the Service, superseding all prior agreements and understandings.
26.2 Severability. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect, and the invalid provision shall be replaced with a valid provision that most closely reflects the original intent.
26.3 No Waiver. Yume's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by Yume to be effective.
26.4 Assignment. You may not assign or transfer your rights or obligations under these Terms without Yume's prior written consent. Yume may assign its rights and obligations under these Terms without restriction.
26.5 No Agency. Nothing in these Terms creates a joint venture, partnership, employment, or agency relationship between you and Yume. Agencies are independent contractors and not agents or employees of Yume.
26.6 Headings. Section headings are for convenience only and do not affect the interpretation of these Terms.
26.7 Survival. All provisions of these Terms that by their nature extend beyond the termination of your Account or use of the Service shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
